Clavis Terms of Service

Last updated: September 11, 2026

These Terms of Service ("Terms") are a binding agreement between you and Chardson Petithomme, an individual doing business as Clavis ("Clavis," "we," "us," or "our"). They govern your use of the Clavis service at clavisagent.com, including our API, SDK, MCP server, and dashboard (together, the "Service"). By creating an account or using the Service, you agree to these Terms and to our Privacy Policy. If you use the Service on behalf of a company or other organization, you represent that you have authority to bind it, and "you" means that organization. If you do not agree, do not use the Service.

1. What Clavis Is

Clavis is a credential vault service that stores encrypted API keys, tokens, and secrets on your behalf and proxies authenticated requests to third-party services you connect, via our API, SDK, and MCP server. When you or an AI agent you configure sends a request through Clavis, we decrypt the relevant credential in memory, attach it to that request, forward the request to the connected service, and return the response. Clavis does not review, approve, or filter the contents of requests. Clavis is a tool for managing your own credentials. It is not a party to your relationship with the third-party services you connect, with Anthropic, or with any other AI platform or agent framework you connect to Clavis, and it is not affiliated with any of them.

2. Eligibility and Accounts

You must be at least 18 years old (or the age of majority where you live) to use the Service. The Service is built for developers and businesses, not for personal, family, or household use. You are responsible for keeping your account credentials and Clavis API key confidential and for all activity under your account. Notify us immediately at hello@clavisagent.com if you suspect unauthorized access to your account or to any credential stored in it, and revoke or rotate the affected credential at the service that issued it.

3. Your Responsibilities

You are solely responsible for:

  • The legality of any credentials you store and any use you make of them through the Service
  • Complying with the terms of any third-party service you connect (for example, OpenAI, Stripe, GitHub, Kalshi), including their rules on API key sharing, automated access, and use through AI agents
  • Ensuring you own or are authorized to store and use every credential you add to your vault, and that storing it with a third-party vault does not violate the terms of the service that issued it
  • Every action taken with your stored credentials through the Service, whether initiated by you, by someone with access to your account, by an AI agent or automated system you configure, or by anyone who obtains your Clavis account credentials or API key, and all resulting charges, purchases, trades, transfers, data changes, and other consequences at the connected service
  • Choosing the scope of the credentials you store. Use the narrowest permissions the connected service allows, set spending limits and other controls at the connected service where available, and rotate credentials regularly and immediately after any suspected compromise
  • Keeping your own copies of your credentials. The Service is not a backup, and you should be able to revoke and reissue any credential at its source at any time

You acknowledge that a connected account can be charged, drained, locked, suspended, or otherwise affected by requests sent with a stored credential, that Clavis cannot reverse those actions, and that, except as expressly provided in Section 10, you bear that risk, not Clavis.

You may not use the Service to:

  • Store or facilitate access to credentials obtained illegally or without authorization
  • Circumvent rate limits, terms of service, or security controls of third-party services
  • Attempt to access another user's account or credentials, probe, scan, or disrupt the Service, or reverse engineer it except where the law allows
  • Send content through the Service that is unlawful, infringing, or harmful, or that violates the usage policies of the connected service or of the AI platform you use to reach Clavis
  • Engage in any activity that violates applicable law, including export control and sanctions laws

4. Indemnification

You will defend, indemnify, and hold harmless Clavis, its operator personally, and any successor entity, and their respective agents and contractors, from any claim, demand, loss, liability, damage, cost, or expense (including reasonable attorneys' fees) arising out of or relating to (a) credentials you store or any action taken with them through the Service, (b) your breach of these Terms or of the terms of any third-party service, or (c) your violation of law or of anyone else's rights. We may take over the defense of any claim at our own expense, and you will cooperate with us if we do.

5. Service Availability and Changes

The Service is provided on an "as available" basis. We aim for high uptime (monitored via automated health checks) but do not guarantee uninterrupted access. We may modify, suspend, or discontinue the Service or any feature at any time. If we discontinue the Service entirely, we will try to give you at least 30 days' notice by email so you can revoke, rotate, or export your credentials. We are not liable for losses resulting from downtime, maintenance, third-party service outages, or third-party API changes that affect credential functionality.

6. Fees and Billing

Some features require a paid subscription. Paid plans are billed through Stripe, our payment processor. Clavis never receives or stores your full card number. Stripe collects and stores your payment details under its own terms and privacy policy, and Clavis receives only a payment token and limited details (plan, subscription status, last four digits of your card).

Automatic renewal. Subscriptions renew automatically at the end of each billing period (monthly or annual, as chosen at checkout) at the then-current price, and your payment method will be charged on each renewal date until you cancel. By subscribing, you authorize these recurring charges.

Cancellation. You can cancel at any time through the billing portal in your dashboard, where you can also update your payment method and view invoices. Cancellation takes effect at the end of the current billing period. You keep paid features until then, and no further charges are made after that.

Free tier and refunds. The Hobby tier is free, is not a trial, and never converts to a paid plan on its own. We may change its limits with notice. Fees for paid plans are non-refundable except where the law requires a refund or where we choose to give one.

Price changes. We may change our prices. We will email you at least 30 days before a price change takes effect for your subscription, and the new price applies from your first renewal after that notice. If you do not want to pay the new price, cancel before that renewal.

Failed payments and taxes. If a payment fails, we may retry it and may downgrade or suspend paid features until it succeeds. Prices exclude taxes. You are responsible for any sales, use, VAT, or similar taxes, other than taxes on our income.

7. Data and Security

Our handling of your data is described in our Privacy Policy, which is part of these Terms. You retain ownership of the credentials and data you store, and you grant us a limited license to store, encrypt, decrypt, transmit, and process them solely to provide the Service to you. We use encryption and access controls as described in the Privacy Policy, but no system is perfectly secure. You acknowledge that storing credentials with any third-party service, including ours, carries inherent risk, that a compromise of our systems or of your account could expose your stored credentials, and that you accept that risk and will limit its consequences through the practices in Section 3.

8. Intellectual Property

Clavis and its operator own the Service, including its software, API, SDK, MCP server, documentation, and branding. We grant you a limited, revocable, non-exclusive, non-transferable license to use the Service in accordance with these Terms. You may not copy, modify, resell, or create derivative works of the Service. If you send us feedback or suggestions, we may use them without any obligation to you.

9. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE ERROR-FREE, UNINTERRUPTED, OR SECURE, THAT IT WILL PROTECT AGAINST ALL SECURITY THREATS, THAT STORED CREDENTIALS WILL NOT BE LOST, DISCLOSED, OR MISUSED, OR THAT ANY REQUEST WILL BE DELIVERED TO OR ACCEPTED BY A THIRD-PARTY SERVICE. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES, SO SOME OF THESE EXCLUSIONS MAY NOT APPLY TO YOU.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW: (A) NEITHER CLAVIS NOR ITS OPERATOR (IN ANY CAPACITY, INCLUDING PERSONALLY) WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR USE, OR FOR ANY CHARGES, PURCHASES, TRADES, TRANSFERS, FEES, PENALTIES, LOCKOUTS, SUSPENSIONS, OR OTHER LOSSES INCURRED AT OR IMPOSED BY ANY THIRD-PARTY SERVICE, HOWEVER ARISING, INCLUDING FROM UNAUTHORIZED ACCESS TO, DISCLOSURE OF, OR MISUSE OF ANY STORED CREDENTIAL OR FROM A SECURITY INCIDENT AFFECTING THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES; AND (B) THE TOTAL LIABILITY OF CLAVIS AND ITS OPERATOR, TOGETHER, FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE, UNDER ANY THEORY (CONTRACT, TORT INCLUDING NEGLIGENCE, STATUTE, OR OTHERWISE), WILL NOT EXCEED THE GREATER OF (1) THE FEES YOU PAID TO CLAVIS IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM AND (2) ONE HUNDRED U.S. DOLLARS ($100). THESE LIMITS ARE A FUNDAMENTAL PART OF THE BARGAIN BETWEEN YOU AND CLAVIS AND APPLY EVEN IF A REMEDY FAILS OF ITS ESSENTIAL PURPOSE. THEY DO NOT LIMIT LIABILITY FOR FRAUD, WILLFUL MISCONDUCT, OR ANY OTHER LIABILITY THAT CANNOT BE LIMITED BY LAW. SOME JURISDICTIONS DO NOT ALLOW SOME OF THESE LIMITS, SO SOME MAY NOT APPLY TO YOU.

11. Third-Party Services and AI Platforms

Clavis facilitates access to third-party services but does not control them. We are not responsible for the availability, accuracy, security, or policies of any third-party service you connect, and your use of those services is governed by their own terms. If you reach Clavis through Claude, another AI assistant, or an agent framework, that platform's terms and usage policies also apply to you. That platform is not a party to these Terms and has no responsibility for the Service. You are responsible for the instructions you give to any agent that calls Clavis. Clavis executes the requests it receives; it does not evaluate whether an agent's request reflects what you intended.

12. Termination

You may close your account at any time by emailing hello@clavisagent.com from the address on your account, as described in our Privacy Policy. We may suspend or terminate your account, or restrict access to any stored credential, immediately if we reasonably believe your account or a stored credential has been compromised, if you violate these Terms, if you engage in fraudulent or illegal activity, or if the law requires it, and for any other reason on 30 days' notice. On termination, your right to use the Service ends and your stored credentials will be deleted per the retention schedule in our Privacy Policy. Termination does not entitle you to a refund except as stated in Section 6. Sections 3, 4, 7 through 10, 14, and 15, and any other provision that by its nature should survive, survive termination.

13. Changes to These Terms

We may update these Terms from time to time. For material changes, we will notify active users by email at least 14 days before the changes take effect. Continued use after changes take effect constitutes acceptance. If you do not agree to a change, stop using the Service and delete your account before the change takes effect.

14. Governing Law and Disputes

These Terms are governed by the laws of the State of Connecticut and applicable U.S. federal law, without regard to conflict-of-law principles.

Talk to us first. Before starting any formal proceeding, you agree to email hello@clavisagent.com with a description of the dispute and to work with us in good faith for 60 days to resolve it. We will do the same before starting a proceeding against you.

Arbitration. Any dispute that is not resolved informally will be settled by binding individual arbitration administered by the American Arbitration Association under its then-current rules, seated in Connecticut, with hearings by video or written submission unless the arbitrator decides otherwise. The Federal Arbitration Act governs this section. Either party may instead bring an individual claim in small claims court, and either party may seek an injunction in court to protect intellectual property or the security of the Service.

No class actions. You and Clavis each agree to bring claims only in an individual capacity and not as a plaintiff or class member in any class, consolidated, or representative proceeding. If this class action waiver is found unenforceable as to a particular claim, that claim will be decided by a court in Connecticut, not by an arbitrator.

Opt-out. You may opt out of arbitration and the class action waiver by emailing hello@clavisagent.com within 30 days after you first accept these Terms, stating that you opt out. If you opt out, any dispute will be decided exclusively by the state or federal courts located in Connecticut, and you consent to their jurisdiction.

15. General

These Terms and the Privacy Policy are the entire agreement between you and Clavis about the Service. If any provision is found unenforceable, the rest remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent. We may assign them, without your consent, to a company or other entity we form to operate the Service or to a successor to the Service, and that assignee will be bound by them. We may give you notices by email to the address on your account; you may notify us at hello@clavisagent.com. Neither party is liable for delays or failures caused by events beyond its reasonable control, except for your payment obligations. You will comply with U.S. export control and sanctions laws and will not use the Service if you are located in, or are a resident of, a country or region subject to comprehensive U.S. sanctions or are on a U.S. government restricted-party list.
